We may, at Our sole discretion, assume the exclusive defense and control\u00a0<\/span><\/p>\n

        of any matter subject to indemnification by You. The assumption of such defense or\u00a0 control by Us, however, shall not excuse any of Your indemnity obligations.\u00a0<\/span><\/p>\n

        FORCE MAJEURE\u00a0<\/b><\/p>\n

        We shall not be liable for delays or nonperformance of this Agreement caused by strike,\u00a0 fire, or accidents, nor shall We be liable for delay or nonperformance caused by lack of\u00a0 availability of materials, fuel, or utilities or for any other cause beyond Our control.\u00a0<\/span><\/p>\n

        ASSIGNMENT\u00a0<\/b><\/p>\n

        You may not assign the rights or obligations under this Agreement. <\/span><\/p>\n

        ENTIRE AGREEMENT\u00a0<\/b><\/p>\n

        Except as modified or supplemented by a writing executed by both parties, the Terms\u00a0 and Conditions described herein are the only representations, warranties, and\u00a0 understandings between the parties with respect to the products and\/or services\u00a0 described herein.\u00a0<\/span><\/p>\n

        DISPUTES\u00a0<\/b><\/p>\n

        In the event of a dispute, You agree to attempt to resolve the dispute by contacting Us\u00a0 at <\/span>editor@<\/span>thedermreview.com prior to taking any other action. Failure to contact Us to\u00a0 attempt a dispute resolution prior to taking any other action will result in a breach of this\u00a0 Agreement by You.\u00a0\u00a0<\/span><\/p>\n

        If the parties are unable to resolve a dispute arising under these Terms and <\/span>\u00a0<\/span>Conditions by discussion and negotiation within 14 days of receipt of written notice of <\/span>\u00a0<\/span>the dispute from a party, then the dispute will be referred to mediation. The mediation <\/span>\u00a0<\/span>shall be conducted in NZ (or such other mutually convenient forum in NZ<\/span>) and administered by LEADR under its Commercial Mediation Procedures. <\/span>\u00a0<\/span>Each party will bear its own costs of mediation and will pay one-half of the mediation <\/span>\u00a0<\/span>costs. If mediation has not resolved the dispute within one month of the matter being <\/span>\u00a0<\/span>referred to mediation, then either party may commence arbitration proceedings.<\/span>\u00a0<\/span><\/p>\n

        The parties have agreed that in the event of arbitration, all disagreements and\u00a0 <\/span>matters in dispute between them shall be referred to a sole arbitrator for final <\/span>\u00a0<\/span>determination in accordance with the Rules of Arbitration of the NZ Dispute <\/span>\u00a0<\/span>Resolution Centre (the \u201cRules\u201d) and that the parties will be bound by the findings of <\/span>\u00a0<\/span>the said arbitration subject only to such rights as the parties may have under Articles <\/span>\u00a0<\/span>33 & 34 of the First Schedule to the Arbitration Act 1996 (the Act).<\/span>\u00a0<\/span><\/p>\n

        The parties agree to use their best endeavors to agree on an arbitrator within 5\u00a0 <\/span>working days of the date of issue of a Notice of Arbitration in terms of the Rules.<\/span> The parties agree to the use of email for the service of all notices and for all legal\u00a0 requirements in connection with arbitration pursuant to these Terms and Conditions.\u00a0<\/span><\/p>\n

        Please send any official notices regarding these Terms and Conditions\u00a0 to <\/span>editor@<\/span>thedermreview.com.\u00a0<\/span><\/p>\n

        If the venue of this arbitration provision is <\/span>held by a court of competent jurisdiction to\u00a0 be invalid under any applicable statute or rule of law, the Parties agree that the\u00a0 arbitration shall be held under the rules of the American Arbitration Association in\u00a0 Akron, Ohio. Should a court of competent jurisdiction deny arbitration then this\u00a0 Agreement and Your use of Our website will be governed by the laws of the State of\u00a0 Ohio, and the state and federal courts of general jurisdiction serving Akron<\/span>, Ohio<\/span>, <\/span>will\u00a0 have exclusive jurisdiction over any and all disputes arising out of, relating to, or\u00a0 concerning this Agreement or any other controversy between You and Us. You hereby\u00a0 waive any right to a trial by jury in the event of any controversy or claim relating to this\u00a0 Agreement. In addition to the foregoing, in the event of any breach or violation of this\u00a0 Agreement, We shall be entitled to enforce all of Our legal remedies for the breach or\u00a0 wrongful activity including, but not limited to, seeking actual damages, the maximum\u00a0 amount of statutory damages under applicable statutes and Acts, profits, treble\u00a0 damages, and attorneys\u2019 fees and costs. These remedies and damages are in addition\u00a0 to the monetary payments described above and\/or any amounts otherwise due under\u00a0 this Agreement.\u00a0<\/span><\/p>\n

        SEVERABILITY\u00a0<\/b><\/p>\n

        If any provision, or portion thereof, of this Agreement, is held by a court of competent\u00a0 jurisdiction to be invalid under any applicable statute or rule of law, the Parties agree\u00a0 that such invalidity shall not affect the validity of the remaining portions of this Agreement and further agree to substitute for the invalid provision a valid provision\u00a0 which most closely approximates the intent and economic effect of the invalid\u00a0 provisions.\u00a0<\/span><\/p>\n

        HEADINGS\u00a0<\/b><\/p>\n

        The headings of this Agreement are for convenience only and shall not be used to\u00a0 construe the meaning of this Agreement.\u00a0<\/span><\/p>\n

        AGREEMENT UPDATES\u00a0<\/b><\/p>\n

        This Agreement is effective as of October 28, 2022. We reserve the right to revise this\u00a0 policy from time to time without prior notice.
